Terminal — Trade Liability Disclaimer & Non-Guarantee
Effective date: [EFFECTIVE DATE PLACEHOLDER]
Last updated: [LAST UPDATED PLACEHOLDER]
This Disclaimer forms part of, and should be read with, the Terms of Use and the Verification Boundary Statement. Capitalized terms have the meanings given in the Terms of Use.
1. What Terminal does — and does not — stand behind
Terminal is a curated directory and RFQ/quote workflow. It helps Buyers and Providers find one another and exchange information. Terminal is a facilitator only and is not a party to any transaction, contract, or service between Members (see Terms of Use, Section 2).
Terminal does not guarantee, endorse, certify, or warrant any of the following in respect of any Member or listing:
- the quality, safety, grade, or condition of any goods, produce, facility, or service;
- compliance with any Egyptian or foreign law, standard, or importing-country requirement;
- the validity, authenticity, currency, or scope of any certificate, licence, accreditation, or permit;
- the capacity, availability, throughput, or capability claimed by any Provider;
- the performance, reliability, solvency, honesty, or identity of any Member; or
- the accuracy or completeness of any profile, RFQ, quote, document, or message.
All such matters are the representations and responsibility of the Member who supplies them.
2. "Verified" does not mean guaranteed or endorsed
A "verified" badge or status on the Platform means only that Terminal carried out a limited documentation-review step at a point in time, as described in the Verification Boundary Statement. It does not mean that Terminal:
- endorses, recommends, certifies, or accredits the Member;
- has confirmed the truth, validity, or ongoing status of any document;
- has inspected any facility, product, or process; or
- guarantees the Member's compliance, quality, capacity, or performance.
Verification is not a certification, a quality mark, a compliance guarantee, or a substitute for your own checks.
3. Conduct your own due diligence
Before entering into any dealing arranged through the Platform, you are responsible for conducting your own due diligence, including independently verifying a counterparty's legal status, certificates, licences, capacity, references, insurance, and suitability, and confirming current legal and regulatory requirements with the competent authorities. You should not rely on the Platform, on "verified" status, or on any Terminal-provided guidance as a substitute for your own investigation and professional advice.
4. No liability for transactions and services arranged via the Platform
To the maximum extent permitted by Egyptian law, Terminal is not liable for any loss, damage, cost, claim, penalty, spoilage, rejection, detention, delay, or dispute arising out of or connected with any transaction, contract, service, shipment, or dealing between Members, including any Provider's acts, omissions, breach, defective performance, product or food-safety outcome, regulatory or customs outcome, or misrepresentation. Any such matter is between the Members concerned (see Terms of Use, Sections 11 and 13).
5. Guidance is workflow support, not advice
Any food-safety, export-procedure, documentation, quality, or regulatory content provided through the Platform is general workflow support and source-linked guidance only. It is not legal, regulatory, customs, food-safety, or professional advice, and it is not a compliance guarantee. Requirements change and vary by product, destination, and circumstance. You must confirm current requirements with the competent Egyptian authorities (including, where relevant, the National Food Safety Authority and customs/export authorities) and any relevant importing-country authorities, and obtain your own professional advice. Guidance draws on public sources such as the Egypt Trade Information Portal and Egypt's food-safety framework (including the Executive Regulations under Prime Minister Decree No. 412 of 2019); Terminal does not warrant their currency, accuracy, or applicability to you.
6. Terminal is not a regulator, certifier, adviser, or guarantor
For the avoidance of doubt, Terminal does not present itself as, and is not, a regulator, a certification or accreditation body, a financial or legal adviser, or a compliance guarantor, and Terminal does not sell compliance guarantees. Terminal does not issue, validate, or replace any government certificate, licence, or approval.
